Terms of Service

The binding agreement between you and GsmBit governing your use of our Unlocking Management & Automation platform.

By creating an account, accessing, or using the GsmBit platform, you agree to be legally bound by these Terms. If you do not agree, you must not use our services.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and GsmBit ("Company", "we", "us", "our"), governing your access to and use of the GsmBit platform, including all services, features, APIs, and content provided therein ("Platform").

By clicking "I Agree", registering an account, or otherwise accessing the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

These Terms apply to all visitors, registered users, resellers, API consumers, and any other individuals or entities who access or use the Platform.

2. Eligibility

By purchasing or using our website script, you agree to the following terms. GsmBit provides a web script designed for unlocking business operations. We do not sell or provide any unlocking services, illegal items, or any unauthorized goods. The script is solely for legal and ethical use, such as managing a web platform for selling digital or physical products.

You agree not to use the script for any unlawful or malicious activities. GsmBit is not responsible for any misuse, loss, or damages resulting from the use of this script.

By using our product, you commit to the following:

  • Use the script exclusively for legal and ethical purposes
  • Not use the platform to sell, distribute, or facilitate any unlocking services, illegal items, or unauthorized goods
  • Ensure full compliance with all applicable local, national, and international laws
  • Take sole responsibility for the content, services, and products offered through your implementation of the script
  • Not engage in any activity that could expose GsmBit to legal liability or reputational harm
  • Maintain ethical business practices at all times when operating the platform

GsmBit is not responsible for any misuse, loss, or damages — direct, indirect, or consequential — resulting from the use of this script. By proceeding with purchase or use, you acknowledge and accept full responsibility for your use of the platform.

3. Account Registration & Security

3.1 Account Creation

You must register an account to access most Platform features. You agree to provide accurate and complete information during registration and to keep this information current and up to date.

3.2 Account Security

  • You are solely responsible for maintaining the confidentiality of your login credentials
  • You must not share your account, password, or API tokens with any third party
  • You must notify us immediately of any unauthorised access or security breach at Support@gsmbit.com
  • We are not liable for any losses arising from unauthorised use of your account

3.3 One Account Per User

Each user may maintain only one active account unless expressly authorised by us. Creating duplicate accounts to circumvent restrictions, suspensions, or bans is strictly prohibited and will result in permanent termination.

Comprehensive analytics with revenue tracking and profit forecasting

We reserve the right to modify, suspend, or discontinue any feature or service at any time, with or without notice, and we shall not be liable to you or any third party for any such modification, suspension, or discontinuation.

5. Acceptable Use Policy

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

5.1 Prohibited Activities

  • Use the Platform for any illegal, fraudulent, or unauthorised purpose
  • Violate any applicable local, national, or international law or regulation
  • Distribute, sell, or transfer your account or platform access to any third party
  • Attempt to gain unauthorised access to any part of the Platform or its infrastructure
  • Reverse engineer, decompile, or disassemble any component of the Platform
  • Upload or transmit viruses, malware, or any other malicious code
  • Use automated bots, scrapers, or crawlers without our prior written consent
  • Interfere with or disrupt the integrity or performance of the Platform
  • Conduct denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks
  • Harass, abuse, or harm other users or our support staff
  • Post or transmit defamatory, obscene, or otherwise objectionable content
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity

5.2 Consequences

Any violation of this Acceptable Use Policy may result in immediate account suspension or termination, forfeiture of credit balances, legal action, and reporting to relevant authorities, at our sole discretion.

6. Licenses & License Keys

6.1 License Issuance

License keys issued through the Platform are granted for the specific software, product, or service as described at the time of purchase. Licenses are non-transferable unless explicitly stated otherwise.

6.2 Restrictions

  • License keys may not be resold, shared, or redistributed without prior authorisation
  • Using a license key on more devices, domains, or users than permitted is a material breach of these Terms
  • We reserve the right to revoke any license key that we believe has been obtained fraudulently or used in violation of these Terms
  • Revoked licenses will not be eligible for a refund if the revocation is due to user misconduct

6.3 License Validity

License validity periods (monthly, annual, lifetime) are as specified at the time of purchase. Expired licenses will not function until renewed. We do not guarantee functionality of expired licenses.

7. API Usage

7.1 API Access

Access to our REST API is provided subject to these Terms and any additional API documentation or rate limit policies published on the Platform.

7.2 API Obligations

  • You must keep your API tokens confidential and must not embed them in publicly accessible code repositories
  • You are responsible for all activity conducted through your API tokens
  • You must not use the API to exceed rate limits or attempt to circumvent throttling mechanisms
  • You must not use the API to scrape, harvest, or bulk-export Platform data beyond normal operational needs
  • We reserve the right to revoke API access for any reason, including excessive usage or suspected abuse

7.3 Automated Workflows

Automated workflows, bots, and scripts built on our API must comply with this Acceptable Use Policy. Automation that places undue load on Platform infrastructure or causes service degradation for other users is strictly prohibited.

8. Payments & Billing

8.1 Pricing

All prices are displayed on the Platform and are subject to change without notice. Prices are exclusive of applicable taxes unless otherwise stated. You are responsible for any taxes applicable to your purchases.

8.2 Payment Methods

We support multiple payment gateways for automated, instant transactions. By providing payment information, you authorise us to charge the applicable fees. All transactions are subject to the terms of the relevant payment gateway provider.

8.3 Credit Balance

  • Credit balances are non-transferable and have no cash value
  • Credits expire as specified at the time of purchase, or upon account termination
  • We are not responsible for credits lost due to account termination resulting from Terms violations

8.4 Failed Payments

We reserve the right to suspend your account if payment fails or is reversed. You are responsible for ensuring your payment method is valid and that sufficient funds are available.

Important: All completed transactions are final. In the event of a dispute, please contact our support team before initiating a chargeback. Unauthorised chargebacks may result in immediate account suspension.

9. Refunds & Credits

9.1 Refund Policy

Due to the digital and automated nature of our services, all sales are generally final. Refunds may be considered at our sole discretion under the following circumstances:

  • A technical failure on our part that prevents you from using a purchased service
  • Duplicate charges due to a payment processing error
  • A request submitted within 24 hours of purchase, before the license key or service has been activated or used

9.2 Non-Refundable Items

  • Activated or used license keys
  • API usage fees and consumed credits
  • Rental charges for completed rental periods
  • Accounts suspended or terminated for Terms violations
  • Promotional or discounted purchases

9.3 Requesting a Refund

To request a refund, open a support ticket within the eligible timeframe, providing your order details and reason for the request. Approved refunds will be processed within 5–10 business days to your original payment method.

10. Reseller Program

10.1 Reseller Status

Authorised resellers are permitted to market and sell GsmBit services to end users, subject to a separate Reseller Agreement in addition to these Terms.

10.2 Reseller Obligations

  • Resellers must not misrepresent the capabilities, pricing, or terms of the Platform
  • Resellers are responsible for ensuring their customers comply with these Terms
  • Resellers must not engage in practices that damage the reputation of the Platform or Company
  • Reseller status may be revoked at any time for violations without prior notice
  • Resellers may not create sub-reseller programs without explicit written authorisation

10.3 Reseller Liability

Resellers are independently responsible for all obligations arising from their relationship with end customers, including customer support, billing disputes, and compliance with local laws.

11. Intellectual Property

11.1 Our IP

The Platform, including all software, code, interfaces, designs, logos, trademarks, text, and content, is the exclusive intellectual property of GsmBit or its licensors, protected by copyright, trademark, and other applicable laws. No rights are granted to you except as expressly stated in these Terms.

11.2 Your Content

You retain ownership of any content you submit to the Platform. By submitting content (e.g., support ticket messages, community posts), you grant us a non-exclusive, royalty-free, worldwide licence to use, store, display, and reproduce that content solely for the purpose of providing the Platform services.

11.3 Feedback

Any feedback, suggestions, or ideas you provide to us about the Platform may be used by us freely without obligation, attribution, or compensation to you.

12. Disclaimers

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Platform will be uninterrupted, error-free, or free from bugs or viruses
  • Results obtained from the Platform will be accurate, reliable, or complete
  • Any defects or errors will be corrected within a specific timeframe
  • The Platform will meet your specific requirements or expectations

Scheduled maintenance, unplanned outages, or third-party service disruptions are not considered breaches of these Terms. We will make reasonable efforts to provide advance notice of planned maintenance.

13. Limitation of Liability

To the maximum extent permitted by applicable law, GsmBit and its officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or inability to recover data
  • Loss of goodwill or reputation
  • Service interruptions or downtime
  • Any damages arising from third-party services or integrations

In no event shall our total aggregate liability to you for all claims arising under these Terms exceed the greater of: (a) the total amount paid by you to us in the 12 months preceding the claim, or (b) USD $100.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability is limited to the fullest extent permitted by applicable law.

14. Indemnification

This is your most important protection. By using the Platform, you agree to fully indemnify and hold GsmBit harmless from any claims, costs, or damages caused by your actions, your business, or your use of the script.

14.1 Your Obligation to Indemnify

You agree to defend, indemnify, and hold harmless GsmBit, its officers, directors, shareholders, employees, contractors, agents, and licensors (collectively, "Indemnified Parties") from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and court costs) arising out of or in connection with:

  • Your use or misuse of the Platform, script, or any service provided
  • Any products, services, or content you offer through your implementation of the script
  • Your violation of any provision of these Terms
  • Your violation of any applicable local, national, or international law or regulation
  • Any claim by a third party — including your end customers — arising from your use of the Platform
  • Any illegal, unauthorised, or unethical activity conducted through your account or platform instance
  • Any infringement of intellectual property, privacy, or other rights by you or your end users
  • Any dispute between you and your customers, resellers, or any third party

14.2 We Are a Software Provider Only

GsmBit is a script/software provider only. We have no involvement in, control over, or responsibility for the products, services, content, pricing, or business activities conducted by you or your users through your implementation of the Platform. You are entirely and solely responsible for your business operations, your customers, and how you operate the script.

We are not a party to any transaction between you and your end customers. Any disputes between you and your customers are strictly between you and them, and you shall not involve or implicate us in any such dispute.

14.3 Indemnification Process

We reserve the right to assume exclusive control of the defence of any matter subject to indemnification by you, at your sole expense. You agree to cooperate fully with us in asserting available defences. We will provide reasonable notice of any claim; failure to do so shall not relieve you of your indemnification obligation except to the extent of actual demonstrated prejudice.

15. Termination

14.1 Termination by You

You may terminate your account at any time by contacting our support team. Account termination will result in the permanent deletion of your account and all associated data (subject to our data retention policies). Unused credits and prepaid service fees are non-refundable upon voluntary termination.

14.2 Termination by Us

We may suspend or terminate your account at any time, with or without notice, for reasons including but not limited to:

  • Breach of any provision of these Terms
  • Fraudulent, abusive, or illegal conduct
  • Failure to pay outstanding amounts
  • Prolonged inactivity (accounts inactive for more than 12 months)
  • Legal or regulatory requirements

14.3 Effect of Termination

Upon termination, all licenses granted to you immediately expire, your access to the Platform is revoked, and any outstanding obligations (including payment of fees) remain enforceable. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, and Governing Law) shall survive.

16. Governing Law & Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which GsmBit is incorporated, without regard to its conflict of law provisions.

16.2 Informal Resolution

Before initiating any formal dispute, you agree to first contact us at Support@gsmbit.com and attempt to resolve the matter informally. We will make good-faith efforts to resolve disputes within 30 days.

16.3 Binding Arbitration

If informal resolution fails, disputes shall be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if they qualify. You waive the right to participate in class action lawsuits or class-wide arbitration.

16.4 Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect.

16.5 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and GsmBit with respect to the Platform and supersede all prior agreements, understandings, representations, and communications — whether written or oral — between the parties regarding the subject matter hereof. No oral representations or warranties shall be binding on either party.

16.6 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. A waiver in one instance shall not be deemed a waiver in any future instance.

16.7 Force Majeure

GsmBit shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes, pandemic, or failures of telecommunications or internet infrastructure.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Effective Date" at the top of this page
  • Send an email notification to registered account holders
  • Display a prominent notice on your dashboard for at least 14 days

Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Platform and close your account.
